These Terms constitute a legally binding agreement between you and Tara Partners. Your continued use of the website or services following any changes to these Terms indicates your acceptance of such changes.

  • "Service" refers to legal advisory services provided by Tara Partners in the areas of pharmaceutical regulation, government procurement, and retirement fund compliance.

  • "Client" refers to a user who has entered into a formal engagement agreement for legal advisory services.
  • "Content" refers to all text, images, information, and materials available on our website.
  • "Engagement Agreement" refers to a written agreement between the firm and a client for provision of specific legal services.

3. Eligibility and Capacity

You must be at least 20 years of age (the age of majority in Thailand) and have legal capacity to enter into binding agreements to use our services. By using our website or services, you represent and warrant that you meet these eligibility requirements.

If you are accessing the website or engaging services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Services Description

Tara Partners provides specialized legal advisory services in three practice areas:

  • Pharmaceutical and Medical Device Regulation
  • Public Procurement and Government Contracts
  • Retirement and Provident Fund Advisory

Services are provided subject to:

  • Execution of a written engagement agreement defining scope, fees, and deliverables
  • Completion of conflict checks and compliance procedures
  • Receipt of all necessary information and documentation from the client
  • Availability of the firm's counsel and absence of force majeure events

5. No Attorney-Client Relationship

Use of our website, submission of inquiry forms, or general communications with the firm do not create an attorney-client relationship. An attorney-client relationship is established only upon:

  • Execution of a written engagement agreement by both parties
  • Successful completion of conflict checks
  • Commencement of work on the agreed scope of services

Until an attorney-client relationship is formally established, you should not share confidential or privileged information through our website or general communications.

6. User Responsibilities

6.1 Accurate Information

You agree to provide accurate, complete, and current information when using our website or services. Provision of false or misleading information may result in termination of services and potential legal consequences.

6.2 Prohibited Uses

You agree not to:

  • Use the website for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to our systems or networks

7. Fees and Payment

7.1 Fee Structure

Our services are provided on a fixed-fee basis for defined scopes of work as specified in engagement agreements. Fee amounts and payment terms are established prior to engagement commencement.

7.2 Payment Terms

Unless otherwise specified in the engagement agreement:

  • Fees are payable in Thai Baht (฿)
  • Payment is due within 15 days of invoice date
  • Late payments may incur interest charges at the rate of 1.5% per month
  • The firm may suspend services for accounts more than 30 days overdue

7.3 Additional Costs

Government filing fees, translation costs, courier expenses, and other third-party charges are billed separately unless explicitly included in the fixed fee arrangement.

7.4 Refund Policy

Fees paid for services rendered are non-refundable. If an engagement is terminated before completion, fees will be calculated based on work performed and expenses incurred to the termination date.

8. Intellectual Property

8.1 Firm's Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Tara Partners or its licensors and is protected by Thai and international copyright and trademark laws. Unauthorized use is prohibited.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the website for personal or business information purposes. This license does not permit:

  • Reproduction or distribution of website content
  • Modification or creation of derivative works
  • Commercial use without written permission
  • Removal of copyright or proprietary notices

8.3 Work Product

Documents and work product prepared specifically for a client under an engagement agreement become the property of that client upon full payment of fees, subject to the firm's right to retain copies for professional record-keeping purposes.

9. Disclaimers

9.1 General Information Only

Information on our website is provided for general informational purposes only and does not constitute legal advice. Do not rely on website content as a substitute for professional legal counsel specific to your situation.

9.2 No Warranties

The website and its content are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of accuracy, completeness, merchantability, or fitness for a particular purpose.

9.3 No Guarantees of Results

While we strive to provide high-quality legal services, we cannot guarantee specific outcomes in regulatory matters. Agency decisions are subject to their discretion and numerous factors beyond our control.

10. Limitation of Liability

To the maximum extent permitted by Thai law:

  • Our total liability for any claim arising from services rendered shall not exceed the fees paid for those specific services
  • We are not liable for indirect, consequential, special, or punitive damages including lost profits or business interruption
  • We are not liable for delays or failures in regulatory approvals caused by government agencies
  • We are not liable for client decisions made based on our advice that are ultimately not pursued or successfully implemented

This limitation does not apply to liability that cannot be excluded under Thai law, such as liability for fraud or willful misconduct.

11. Indemnification

You agree to indemnify and hold harmless Tara Partners, its counsel, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the website in violation of these Terms, (b) your provision of false or misleading information, (c) your violation of any law or regulation, or (d) your infringement of any third-party rights.

12. Confidentiality

For clients with whom we have established an attorney-client relationship:

  • We maintain strict confidentiality of client information as required by professional conduct rules
  • Attorney-client privilege protects communications made for purposes of obtaining legal advice
  • We implement security measures to protect confidential information (see our Privacy Policy)
  • Confidentiality obligations survive termination of the engagement

13. Termination

13.1 By Client

Clients may terminate an engagement at any time by providing written notice. Fees will be calculated for work performed and expenses incurred through the termination date.

13.2 By Firm

We reserve the right to terminate an engagement if:

  • Client fails to pay fees when due
  • Conflicts of interest arise that cannot be waived
  • Client fails to provide necessary cooperation or information
  • Continuation of representation would violate professional conduct rules
  • Client engages in fraud or illegal activities

13.3 Effects of Termination

Upon termination, the firm will provide client with documents and work product prepared to that date (subject to payment of outstanding fees), and client remains responsible for all fees and expenses incurred prior to termination.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Kingdom of Thailand. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Thailand, with venue in Bangkok.

Before initiating formal proceedings, parties agree to attempt resolution through good faith negotiation and, if unsuccessful, mediation under the rules of the Thai Arbitration Institute.

15. General Provisions

15.1 Entire Agreement

These Terms, together with any engagement agreement, constitute the entire agreement between you and Tara Partners regarding use of the website and services, superseding any prior agreements or understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing.

15.4 Assignment

You may not assign or transfer these Terms or any engagement agreement without our prior written consent. We may assign our rights and obligations with reasonable notice to you.

15.5 Notices

All notices under these Terms must be in writing and sent to the addresses specified in the engagement agreement or to legal@tarapartnersad. Notices are deemed received when delivered by email or three business days after mailing.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the website with an updated "Last Updated" date. Material changes will be communicated to clients via email. Your continued use of the website or services after changes constitutes acceptance of the modified Terms.
